1. Introduction

Welcome to Sheet Sauce ("Service"). These Terms of Service ("Terms") govern your access to and use of our web application, which allows users to upload Excel files and generate AI-powered reports. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Description of Service

Sheet Sauce is an AI-powered web application that allows users to upload Excel files (.xls and .xlsx formats) and automatically generate comprehensive, editable reports based on the data contained within those files. The system leverages OpenAI's API to analyze spreadsheet data and create insightful reports that users can further customize and export as PDF documents.

3. Use of the Service

3.1 Eligibility

You must be at least 18 years of age to use this Service. By using this Service, you represent and warrant that you meet this eligibility requirement.

3.2 File Upload Requirements

  • You may only upload Excel files (.xls or .xlsx) up to 10MB in size
  • You must own or have the right to use and share the content of any files you upload
  • You must not upload files containing sensitive personal information, confidential information, or any illegal content
  • All uploaded files are processed temporarily and are not permanently stored

3.3 Email Requirements

  • You must provide a valid email address before generating a report
  • Your email address will be used solely for the purpose of rate limiting and will not be used for marketing purposes without your explicit consent
  • We will store your email address securely for rate-limiting purposes only

3.4 Usage Limitations

  • Users are limited to one report generation per email address per 24-hour period
  • The total system-wide limit is 20 report generations per day across all users
  • Rate limit counters reset at midnight UTC
  • Attempts to circumvent rate limits by using multiple email addresses or other means are prohibited

4. Privacy and Data Security

4.1 Data Collection

We collect the following information:

  • Email addresses for rate limiting purposes
  • Basic analytics data through Microsoft Clarity and Splitbee
  • Payment information through Stripe (for paid services)

4.2 Data Processing

  • Excel files are processed temporarily and are not permanently stored
  • Report content is generated using OpenAI's API
  • Generated reports are stored only for the duration of your session
  • We do not sell or share your data with third parties except as necessary to provide the Service

4.3 Third-Party Services

We use the following third-party services:

  • Microsoft Clarity for analytics
  • Splitbee for analytics
  • OpenAI for report processing
  • Stripe for payment processing

Each of these services has their own Terms of Service and Privacy Policies, which you are encouraged to review.

5. Intellectual Property

5.1 Our Intellectual Property

The Service, including its design, features, and functionality, is owned by Sheet Sauce and is protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain ownership of the data you upload. By uploading content to our Service, you grant us a limited license to use, process, and transform the data solely for the purpose of providing the Service to you.

5.3 Generated Content

Reports generated by the Service are provided for your use. While the structure and AI-processing are our intellectual property, the specific content generated from your data is for your use and you may use the generated reports for any lawful purpose.

6. Payment Terms

6.1 Free and Paid Services

The Service may offer both free and paid tiers. Free tier users are subject to the rate limits specified in section 3.4.

6.2 Payment Processing

All payments are processed securely through Stripe. We do not store your full credit card information on our servers.

6.3 Refund Policy

All purchases are final. No refunds will be issued for any reason, including but not limited to:

  • Dissatisfaction with generated reports
  • Technical issues outside our control
  • Changing your mind after purchase
  • Accidental purchases
  • Being unsatisfied with AI-generated insights or recommendations
  • Finding errors or inaccuracies in the reports

By making a purchase, you acknowledge and agree that you are waiving any right to a refund you may have under applicable law.

7. Disclaimers and Limitations

7.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis without any warranties, express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

7.2 AI-Generated Content Disclaimer

Reports are generated using artificial intelligence technology. While we strive for accuracy and quality, we make no guarantees regarding the accuracy, completeness, or quality of AI-generated content. AI can make mistakes, and the information, insights, recommendations, and analysis provided in the reports should not be considered professional advice of any kind (financial, legal, business, or otherwise). You are responsible for reviewing and verifying all generated content before use. Sheet Sauce is not responsible for any decisions you make based on the information, recommendations, or insights contained in the reports.

7.3 Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers or any personal information stored therein
  • Any errors or inaccuracies in the content generated by the Service
  • Any interruption or cessation of transmission to or from the Service

7.4 Indemnification

You agree to defend, indemnify, and hold harmless Sheet Sauce and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service.

8. Modifications to the Service and Terms

8.1 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

8.2 Terms Modifications

We reserve the right to change these Terms at any time. We will provide reasonable notice of any material changes by posting the new Terms on the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

You may stop using the Service at any time.

9.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

10. General Provisions

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

10.2 Dispute Resolution

Any dispute arising from or relating to these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitration shall be conducted in New York, New York.

10.3 Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

10.4 Entire Agreement

These Terms constitute the entire agreement between you and Sheet Sauce regarding your use of the Service and supersede all prior and contemporaneous written or oral agreements between you and Sheet Sauce.

10.5 Ownership

Sheet Sauce is owned and operated by a sole proprietor/individual creator.
